At a glance

  • These terms apply only to Contributors: people who supply Source material and confirm this authorization for it.
  • They cover only the specific material you identify in your confirmation.
  • You keep ownership of your Source material. You promise that you're 18 or older and have the rights our uses need.
  • You give Balushi Digital LLC a nonexclusive, royalty-free license to turn that material into Course content and publish it. No payment is promised.
  • We may process the material with editorial AI and voice providers, such as OpenAI, Anthropic, and Fish Audio.
  • If you stop contributing, lessons already made can stay available.
  • If breaking your promises causes a third-party claim against us, you cover the resulting losses, within limits.
  • Delaware law applies, but mandatory protections where you live still apply. There's no forced arbitration.

Legal summaries, including "At a glance" and the "In short:" lines, are not part of these Contribution Terms or of what you agree to. The full wording governs.

About these terms

In short: This is an agreement between you and Balushi Digital LLC about Source material you identify. Reading it doesn't authorize anything.

These Contribution Terms are a self-contained authorization between the actual Contributor and Balushi Digital LLC, operator of Lizards, for the Source material identified in that Contributor's explicit confirmation.

No authorization is obtained by reading these terms alone, and reading them doesn't record agreement. The separate confirmation flow must record actual agreement to a usable version before new contributions are used.

Covered material

In short: These terms cover only the specific material you identify, not future or unrelated submissions.

A Contributor supplies or authorizes Source material to help Lizards prepare Course content. Being a Learner, joining the Waitlist, or studying lessons doesn't make you a Contributor.

Your confirmation must identify the specific materials by reference or description; files continue arriving through existing channels. It doesn't authorize unidentified future submissions or unrelated documents.

Ownership and your promises

In short: You keep ownership. You promise that you're 18 or older and have every permission our uses need.

You retain ownership of the rights you hold in your Source material. You promise that:

  • you are at least 18
  • you can grant this authorization
  • you own, or have obtained, the permissions necessary for the uses below, including relevant copyright, confidentiality, privacy, and other rights

Tell us about restrictions before authorizing a contribution. Possessing a file, classroom access, an educational purpose, or AI rewriting doesn't establish rights to adapt and publish protected expression or arrangements.

What not to supply

In short: Don't supply confidential, unnecessary personal, restricted, or unlawfully obtained material, or other people's work you can't authorize.

Don't supply:

  • confidential information
  • unnecessary personal information
  • restricted assessments or exam answers
  • unlawfully obtained material
  • third-party work you lack permission to authorize

Remove such information or obtain the necessary permissions first. Permission to use general facts doesn't automatically permit copying a source's expression, selection, or arrangement. This agreement can't grant rights belonging to an absent third party.

The license you give

In short: You let Balushi Digital LLC use the identified material to make and publish lessons, in the free Beta and in any future paid service. No payment is promised.

For the identified Source material and the rights you can grant, you give Balushi Digital LLC a worldwide, nonexclusive, royalty-free license to:

  • reproduce, store, and analyze it
  • process it with editorial AI and voice tools
  • adapt, translate, and combine it, and prepare Course content
  • publish, display, perform, and distribute the resulting lessons, and make them available through Lizards and its distribution channels

The grant covers the free Beta and future paid services, if offered; it doesn't state that paid services exist now. No contribution payment is promised.

Service providers and voices

In short: We may send the material to editorial AI and voice providers. Their own settings apply, and we don't promise zero retention or no training.

You authorize the service-provider and distribution permissions reasonably needed to exercise that license. These include supplying relevant material to editorial AI providers such as OpenAI and Anthropic, and supplying narration or voice selections to Fish Audio.

Processing depends on those providers' actual accounts, terms, and settings; no universal zero-retention or no-provider-training guarantee is made. This grant doesn't authorize use of a person's voice without the separate rights or permissions needed for that voice.

If you stop contributing

In short: Lessons already made from your material can stay available. You can ask us about stopping future use of a source.

If you stop contributing, we may continue using and distributing lessons already created from the authorized material. We may also retain and process supporting Source material as reasonably needed for those lessons, permissions, and justified legal records. Continued use remains subject to valid rights complaints and mandatory law.

You may ask us about stopping future use of a specific source. Stopping contributions doesn't automatically retract already-created lessons or authorize new, unidentified submissions.

What the license doesn't cover

In short: We won't resell your raw documents or use your identity in advertising without separate permission, and we don't claim ownership of others' sources.

The license doesn't permit separate resale of your raw documents, or advertising use of your name, likeness, or other identity. Any such use requires separate authorization.

We don't claim ownership of all third-party sources, facts, AI outputs, or voices by virtue of this agreement.

Responsibility for breached promises

In short: If breaking your promises causes a third-party claim against us, you cover the resulting losses, but only to that extent and with exceptions.

To the extent lawful, you agree to indemnify Balushi Digital LLC for reasonable losses, damages, and defense costs arising from third-party claims caused by your breach of the rights, permission, confidentiality, or submission promises in these Contribution Terms. This applies only to the extent the claim is caused by that breach; it is not a transfer of all company liability.

It does not cover our own fraud, willful misconduct, gross negligence, recklessness, unauthorized uses outside your grant, or responsibilities that cannot lawfully be shifted.

Ordinary Learners don't give source-rights warranties or this indemnity merely by studying company-published lessons. This indemnity is limited to its qualified scope; no other provision expands the Contributor's indemnity obligations.

Handling a covered claim

In short: We'll tell you promptly about a covered claim. You may take part in the defense and, where appropriate, lead it. Neither side can settle in a way that binds the other without written consent.

We will give reasonably prompt notice of a covered claim. Any delay reduces your responsibility only to the extent it materially prejudices your defense.

You may participate in the defense and, where appropriate, undertake it with competent counsel reasonably acceptable to us. We will reasonably cooperate and take reasonable steps to limit covered losses. We may participate with our own counsel at our own expense, except where a conflict reasonably requires separate defense for a covered claim.

Without a party's written consent, no settlement may:

  • bind that party
  • admit its fault
  • impose nonmonetary obligations on it
  • fail to release it

Consent to an appropriate settlement will not be unreasonably withheld. Mandatory-law limits apply throughout.

Confirmation and receipts

In short: You must confirm before we use new material. Confirming now for material you sent earlier doesn't backdate your agreement.

New contributions require actual agreement before use. For identified materials supplied earlier, a new confirmation uses the real acceptance date; it is not proof of past assent or retroactive clearance of third-party rights.

A receipt records your supplied identity, the material reference, the exact agreed wording, and the server receipt time. It doesn't verify identity or guarantee the truth of rights claims.

Governing law and disputes

In short: Delaware law applies, but mandatory protections where you live still apply. You can go to court, including small claims, and there's no forced arbitration.

Delaware law governs these Contribution Terms, while preserving mandatory consumer protections and rights that apply where you live. Disputes may be brought in ordinary courts with jurisdiction, including eligible small claims. These Contribution Terms impose none of the following:

  • mandatory arbitration
  • a class-action waiver
  • a contractual jury waiver
  • an exclusive out-of-state forum
